DAHS annual meeting Jan. 22

The annual meeting of the Dassel Area Historical Society members will be held on Tuesday, January 22, 2013, at 9:00 a.m. at the Dassel History Center, 901 North First Street, Dassel, MN.  The agenda will include a discussion of and vote by the members on proposed amendments to the Bylaws and Articles of Incorporation of the Historical Society.

The proposed Bylaw amendments clarify certain ambiguities and inconsistencies in the existing Bylaws, and more fully conform the Bylaws to actual practice.  The proposed amendments also change the method by which officers of the Historical Society are elected.  Under the present Bylaws the members elect the Trustees to serve for three year terms on the Board of Trustees, and the members then elect the officers of the Society who serve for separate  three year terms.  The proposed Bylaw amendments continue the  procedure for electing the Trustees, but authorize the Board of Trustees to annually elect the officers.  Term limits on Trustees and officers are eliminated.  The proposed Bylaws also define more fully the duties of the officers, and further clarify the relationship between the City of Dassel and the Dassel Area Historical Society.

There are two proposed amendments to the Articles of Incorporation.  The first amends Article IX to eliminate a geographical restriction on the residence of Trustees.  The second amends Article X to authorizes the change in procedure for electing officers of the Society.

The proposed amendments to the Bylaws and to the Articles of Incorporation have been approved by both the Board of Trustees of the Society and by representatives of the City of Dassel.
